Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the 1Gesture service (“Service”), operated by 1Gesture Platform Ltd (“1Gesture”, “we”, “our”, “us”). By creating an account, buying Gestures, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

1Gesture provides meeting-reminder emails with optional impact-gesture funding. The Service allows you to:

  1. Connect your Google or Microsoft calendar (read-only) to generate personalised meeting reminders.
  2. Send reminder emails, on your behalf from your own connected mailbox, to your meeting guests ahead of scheduled events.
  3. Fund impact gestures (each, a “Gesture”): small, meaningful contributions directed to verified Gesture Partners on behalf of you and the people you meet.

1Gesture is not a financial services provider, investment platform, or regulated financial institution, and is not itself a registered charity. Gestures are facilitated by 1Gesture and directed to verified Gesture Partners. 1Gesture acts as a facilitator, not as the Gesture Partner itself.

2. Eligibility & Account Responsibilities

When you create a 1Gesture account, you agree to:

  1. Be at least 18 years of age.
  2. Provide accurate and complete information during registration.
  3. Keep your account credentials secure and not share them with third parties.
  4. Accept responsibility for all activity that occurs under your account.
  5. Notify us immediately if you suspect unauthorised access to your account.

If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms. We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive, fraudulent, or harmful behaviour.

3. Plans, Purchases & Billing

Plans

The Service is offered on the following plans:

  1. Free: includes the dashboard and reminders but funds no Gestures.
  2. Unlimited: you buy Gestures in advance, at USD $1 per Gesture, into a single balance that belongs to your organisation (your “Gesture pot”). There is no monthly fee, no subscription and no charge per user.
  3. Enterprise: for very large organisations, on terms agreed with us in writing.

“Unlimited” refers to how many people in your organisation can use one Gesture pot: any number of your organisation’s members can send reminders funded from it. It does not mean that Gestures are free or unlimited. Every Gesture costs USD $1, and each purchase is for between 20 and 5,000 Gestures.

Pricing

Gestures cost USD $1 each. On the Unlimited plan you choose how many to buy each time you make a purchase. Each purchase must be for at least 20 Gestures (USD $20) and no more than 5,000 Gestures (USD $5,000), and you may make as many purchases as you wish. A purchase costs the number of Gestures multiplied by USD $1, plus any applicable taxes (see “Currency and tax” below).

The prices, limits and plan features that apply to a purchase are those displayed when you make it. We may change our prices and plan features, and will give notice of changes as described in Section 12.

Buying Gestures

  1. Your Gesture pot. Every Gesture your organisation buys goes into its Gesture pot. Any member of your organisation can send reminders funded from the pot, however many members there are.
  2. Who can buy. Only an administrator of your organisation can buy Gestures, or change or switch off automatic top-up.
  3. When Gestures are added. Gestures are added to your pot once your payment has succeeded. Some payment methods can take several days to clear, and Gestures paid for that way are added when the payment clears. The number of Gestures added always equals the amount you paid for Gestures, before tax, divided by USD $1.
  4. When a Gesture is used. A Gesture is used only when a guest chooses a Gesture on a reminder you have funded. When a reminder is sent, we may set one Gesture aside in your pot so that it is there if your guest chooses; if your guest does not choose, it goes back into your pot.
  5. Which Gestures are used first. Each purchase is kept separately, with its own expiry date (see Section 5). When a Gesture is used, it comes from the purchase that expires soonest.

Automatic top-up

  1. What it is. Automatic top-up buys more Gestures for your organisation when your Gesture pot runs low, so that your reminders keep carrying Gestures. It is available only on the Unlimited plan, and only once you have authorised it.
  2. How you authorise it. You authorise automatic top-up at checkout, by ticking a box on our payment provider’s page beside this statement, where N is the number of Gestures in that purchase and $N is its price in US dollars: A checkout that includes automatic top-up cannot be completed without ticking the box. We keep a record of the statement you agreed to and when you agreed to it.
  3. The amount. Each automatic top-up buys the same number of Gestures, at USD $1 each, as the purchase in which you authorised it. The amount cannot be changed in Settings. To change it, an administrator buys a different number of Gestures through a new checkout and authorises automatic top-up for that amount.
  4. Buying more Gestures later. If an administrator buys more Gestures later without authorising automatic top-up again, automatic top-up stays on, at the number of Gestures authorised before. Buying more Gestures does not change that number and does not switch automatic top-up off.
  5. When it happens. An automatic top-up is made when the Gestures remaining in your pot fall to the level an administrator has set in Settings. An administrator can change that level at any time without authorising automatic top-up again.
  6. How it is charged. We charge the payment method saved at the checkout in which you authorised automatic top-up, through Stripe, without you being present.
  7. Notice and receipts. We do not promise to tell you before an automatic top-up is charged. We email your organisation’s administrators a receipt after every automatic top-up.
  8. If a charge fails. If an automatic top-up cannot be charged, we email your administrators and may try again after 24 hours. If the payment needs you to authenticate it, or fails three times in a row, we pause automatic top-up. It restarts only when an administrator authorises it again through a new checkout.
  9. Switching it off. An administrator can switch automatic top-up off at any time in Settings under Billing. After that we start no further automatic top-ups. A top-up that was already being charged when it was switched off may still complete; if it does, its Gestures are added to your pot and we send a receipt. Switching automatic top-up off does not affect Gestures already in your pot. Switching it back on needs a new checkout and a new authorisation.
  10. Price changes. If we change the price per Gesture, we will ask you to authorise automatic top-up again before we charge you at the new price.

Currency and tax

We price and charge in US dollars (USD). Our payment provider, Stripe, may show you the equivalent in your local currency and take payment in that currency; if it does, that amount includes Stripe’s currency conversion fee. The number of Gestures you receive is always worked out from the US dollar price.

Prices are exclusive of any applicable taxes unless stated otherwise at checkout. Tax is not counted towards Gestures.

Payment

Payments are processed by our payment provider, Stripe. We do not store your full card number. By making a purchase you authorise us, through Stripe, to charge your chosen payment method for that purchase, and for any automatic top-ups you authorise under “Automatic top-up”. The Unlimited plan has no subscription and does not renew: you pay only when Gestures are bought, by an administrator or through automatic top-up.

Free Trial

We do not currently offer a free trial.

Cancellation

The Unlimited plan has no subscription to cancel. To stop any future charges, an administrator switches automatic top-up off in Settings under Billing (see “Automatic top-up”). Gestures already in your pot stay available until they are used or reach their expiry date.

Closing your organisation’s account

Your organisation’s account closes when the last of its members’ accounts is deleted, whether by that member or by us. If Gestures are left in your pot when it closes, they stay in the pot and go to your organisation’s chosen cause on their expiry dates, as set out in Section 5, and automatic top-up stops. A top-up that was already being charged at that moment may still complete, and its Gestures are added to the pot.

Refunds

Except where the law requires it, purchases of Gestures, including automatic top-ups, are non-refundable. Gestures already chosen by a guest, or that have gone to your organisation’s chosen cause on expiry, cannot be reversed. Nothing in these Terms limits any non-waivable statutory cancellation or refund rights you may have as a consumer.

4. Impact Gestures

Gestures allow you to fund meaningful contributions through verified Gesture Partners. By using this feature, you acknowledge and agree that:

  1. Each Gesture has a value of USD $1.00, of which USD $0.50 is allocated to the verified Gesture Partner behind the chosen cause and USD $0.50 is retained by 1Gesture to operate and improve the Service.
  2. Gestures are funded from your organisation's Gesture pot. When a guest chooses a Gesture on a reminder you have funded, one Gesture is drawn from that pot.
  3. The charity portion of all Gesture revenue is ring-fenced: held separately and directed exclusively to the selected Gesture Partners.
  4. Gesture Partners are independently verified by 1Gesture. We make reasonable efforts to confirm their legitimacy, but we do not guarantee the outcomes delivered by Gesture Partners.
  5. Where a guest chooses to “double” a Gesture, the additional contribution to the Gesture Partner is funded by 1Gesture and does not draw on your Gesture pot.
  6. A guest’s Gesture choice is shared with the meeting host. The reminder tells the guest this before they choose, and we email the host when a guest chooses, naming the guest and the Gesture, unless that host has switched guest-activity emails off in Settings. We do not show a guest’s choice to other guests.

5. Unused Gestures & Expiry

Each purchase of Gestures carries its own expiry date:

  1. Gestures you buy on the Unlimited plan, including through automatic top-up, expire 12 months from the purchase they came from, counted from when that purchase was added to your pot.
  2. When Gestures expire, whatever you have not used goes to the good cause behind your organisation’s default gesture, on the same basis as a Gesture a guest chooses (see Section 4). Where no default gesture has been set, it goes to a verified cause selected by 1Gesture. Unused Gestures are not returned to you.
  3. A Gesture that is set aside for a reminder you have already sent when its purchase expires is kept for that reminder, and goes to your cause later only if your guest does not choose one.

These Gestures are recorded in our impact ledger, count toward your impact totals, and, like all funded Gestures, are not refundable or reversible. An administrator can change your default gesture at any time in Settings, which changes where Gestures that expire later go.

6. Public & Guest-Facing Impact

By default, when a guest chooses a Gesture, the confirmation page they see may display your organisation's aggregate lifetime impact: summed totals per gesture type only, never guest details or financial information. If your organisation is on the Unlimited plan and has set a public profile, we may also publish a public impact page (for example at /impact/your-organisation) showing your organisation name and its aggregate impact totals.

Both surfaces display aggregate, non-financial information only. You can switch them off at any time in your organisation settings. See our Privacy Policy for further detail on this processing.

7. Intellectual Property

Our Property

The 1Gesture name, brand, logo, website, application, and all associated software, designs, and content are the intellectual property of 1Gesture. You may not reproduce, modify, distribute, or create derivative works from any part of our intellectual property without prior written consent.

Your Property

Any logos, brand assets, or images you upload to 1Gesture remain your property. By uploading them, you grant 1Gesture a limited, non-exclusive licence to display them within meeting-reminder emails and within the Service as necessary to provide the features you have configured. This licence continues only for as long as your content remains in the Service or your account remains active, unless a longer retention period is required by law. You represent and warrant that you own, or have all necessary rights and permissions to upload and authorise 1Gesture to use, those logos, brand assets and images for these purposes.

Impact Certificates

Impact certificates generated by 1Gesture are licensed for personal and professional sharing (including on social media, in presentations, and in reports). You may not alter the content of certificates or misrepresent the impact they describe.

8. Acceptable Use

You agree not to use the Service in any illegal or unauthorised manner, including but not limited to:

  1. Sending unsolicited or spam communications.
  2. Harassing, abusing, or harming other users or guests.
  3. Distributing malicious software or content.
  4. Attempting to gain unauthorised access to the Service or other users' accounts.
  5. Using the Service in violation of any applicable law or regulation.
  6. Impersonating another individual or organisation.

9. Termination

By You

You may delete your account at any time through your account settings. Upon deletion:

  1. Your personal data will be removed within 30 days, as detailed in our Privacy Policy, except for records we are required or entitled to retain, including immutable impact-ledger entries kept to maintain the integrity of charitable allocations, and billing and transaction records retained to meet tax and accounting obligations.
  2. Completed Gestures are not reversible: funds already directed to Gesture Partners will not be refunded.
  3. If yours is the last account in your organisation, deleting it closes your organisation’s account. See “Closing your organisation’s account” in Section 3 for what happens to any Gestures left in your pot.

By Us

We may suspend or terminate your account if:

  1. You breach these Terms.
  2. We are required to do so by law.
  3. Your account has been inactive for an extended period (we will notify you before any such action).
  4. Continuing to provide the Service to you would pose a risk to other users or the integrity of the Service.

If we close your organisation’s account, the Gestures left in your pot and automatic top-up are dealt with as set out in “Closing your organisation’s account” in Section 3.

We will make reasonable efforts to provide advance notice before termination, except where immediate action is necessary to prevent harm. Termination of your account does not affect any rights, remedies, obligations or liabilities that have accrued prior to the date of termination, or any provisions of these Terms which by their nature are intended to survive termination.

10. Disclaimers & Limitation of Liability

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, 1Gesture shall not be liable for:

  1. Failures or delays in email delivery.
  2. Calendar synchronisation delays or errors.
  3. The performance, conduct, or outcomes of Gesture Partners.
  4. Loss of data resulting from service interruptions beyond our reasonable control.
  5. Indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.

Subject to this, and to the maximum extent permitted by law, 1Gesture shall not be liable for any indirect or consequential loss, including loss of profits, revenue, business, goodwill, anticipated savings or data, or for failures or delays in email delivery, calendar synchronisation, Gesture Partner performance, or service interruptions beyond our reasonable control.

Our total aggregate liability arising out of or in connection with the Service shall not exceed the fees paid by you to 1Gesture in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless 1Gesture, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your unlawful or unauthorised use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email or through a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under applicable law, including any mandatory rights under the law of the country in which you live.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 1Gesture regarding your use of the Service.
